User Obligations

You are granted a limited, non-exclusive, non-transferable licence to use our services for their intended purpose. You may not:

• Copy, modify, or distribute our software or content without permission
• Reverse engineer or attempt to extract source code from our platform
• Use our trademarks or branding without written consent
• Create derivative works based on our services or content

Payment Terms and Billing

Service fees and payment terms are specified in individual service agreements. Generally:

• Fees are billed monthly or annually as agreed in your service contract
• Payment is due within 30 days of invoice date unless otherwise specified
• Late payments may incur additional charges as permitted by law
• We reserve the right to suspend services for non-payment after reasonable notice

Limitation of Liability

To the fullest extent permitted by applicable law, betanovaex AG shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services.

Our total liability for any claims arising from these Terms or your use of our services shall not exceed the amount paid by you for the services in the twelve (12) months preceding the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

Indemnification

You agree to indemnify and hold harmless betanovaex AG, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Austria. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Austria.

If you are a consumer resident in the European Union, you may have additional rights under local consumer protection laws, and nothing in these Terms affects those rights.

Termination

Either party may terminate service agreements in accordance with the terms specified in individual contracts. Generally:

• You may terminate your use of our services at any time by providing written notice
• We may terminate or suspend your access for violation of these Terms
• Termination does not relieve you of payment obligations for services already provided
• Upon termination, we will return or securely delete your data as specified in your service agreement

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, or technical failures of third-party systems.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely achieves the intended purpose.

Entire Agreement

These Terms, together with our Privacy Policy and any individual service agreements, constitute the entire agreement between you and betanovaex regarding your use of our services. These Terms supersede any prior agreements or understandings.

Updates to Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date.

Your continued use of our services after the effective date of updated Terms constitutes acceptance of the changes.
